衣學福為英屬開曼群島康友控股公司董事兼研發主管，108年9月間，明知董事長黃文烈因廈門奔馬實業有限公司及廈門協力集團有限公司財務危機，未經康友公司董事會同意，擅自將康友公司轉投資公司六華安源公司之機器設備向大陸地區贛州銀行辦理動產抵押，用以擔保廈門奔馬實業有限公司之積欠債務。 Established by Huang Wen-Lai in November 2013, Pharmally International Holding Company Ltd. (Cayman) obtained 100% shares of Longterm Lista Limited around December 2013 and further acquired and controlled Luan Worldbest Pharmaceutical Company. Pharmally completed the registration of foreign company in Taiwan on January 6, 2015, and was listed on Taiwan Stock Exchange in March 2015. Pharmally set up PT. Biotis Prima Agrisindo in Indonesia in July 2016 and Pharmally Biological Company (PH), Inc. in the Philippines in November 2017. Yi Xuefu was director and R&D supervisor of the Victim Pharmally Company. The Defendant was fully aware that Huang Wen-Lai and Wang Ming-Liang were financing for working capital at the latest around August and September of 2019 owing to Xiamen Benma Industrial Co., Ltd., its subsidiary, Xiamen Sharing Group Co., Ltd., and its other subsidiaries being involved in a financial crisis. The Defendant, along with Huang and Wang, jointly used all of Luan Worldbest Pharmaceutical Company's 504 pieces of machinery and equipment as collateral for a chattel mortgage at the Xiamen branch of the Bank of Ganzhou in Mainland China on September 12, 2019 without a resolution approved by Pharmally's Board and then completed the registration on October 8, 2019. Consequently, as the guarantor of Xiamen Benma Industrial Co., Ltd. and its subsidiaries, Pharmally owed the bank RMB$237,220,000.
